Yuba Terms and Conditions

These Terms and Conditions (the 'Terms') form a binding agreement between you and Yuba Holdings Inc. ('Yuba', 'we', 'our', or 'us'), a Delaware corporation, when you access or use Yuba.

These Terms apply to individual users, startup founders, team members, organizations, accelerators, universities, entrepreneurship support organizations, venture builders, invited users, administrators, and any entity that uses Yuba through a managed workspace or other account.

Our Privacy Policy is incorporated into these Terms by reference. If a particular feature, booking flow, campaign, pilot, statement of work, or enterprise order form includes additional terms, those additional terms also apply. If there is a conflict, the more specific document controls for that feature.

You may use Yuba only if you can legally enter into a binding contract and are not prohibited from using the Services under applicable law. Yuba is not intended for children under 16, or any higher minimum age required by applicable law.

If you register, purchase, administer, invite users, or otherwise use Yuba on behalf of a company, organization, school, accelerator, or other entity, you represent that you have authority to bind that entity to these Terms.

By creating an account, accepting an invitation, booking a session, connecting a third-party integration, clicking an acceptance checkbox, or otherwise using Yuba, you agree to these Terms.

You must provide accurate, current, and complete information and keep your account information updated. You may not impersonate another person or use an email address or identity that you do not have permission to use.

You are responsible for safeguarding your credentials and for all activity that occurs through your account, including activity by invited users, delegated administrators, or anyone who obtains access through your devices or credentials.

You must notify us promptly if you believe your account, credit, workspace, or connected integrations have been compromised. We may suspend or restrict access if we reasonably believe an account or integration poses a security risk.

Yuba is an AI-powered venture-building and collaboration platform. Depending on your plan, role, and workspace permissions, Yuba may provide access to:

• Problem validation, discovery, and structured research workflows.
• Customer discovery, persona, questionnaire, and value proposition tools.
• Business model, solution critique, PRD, and MVP planning workflows.
• AI chat, reporting, history, report sharing, downloads, and insights.
• Organization, team, and individual workspaces with role-based access.
• Credits, allocations, usage tracking, invitations, and admin tooling.
• Cofounder matching, messaging, moderation, and reporting features.
• Venture builder directories, bookings, sessions, notes, disputes, and earnings tools.
• Organization-specific venture builder programs and free internal sessions.

Access to specific modules may depend on plan tier, credits, workspace status, product availability, geography, onboarding state, beta access, or administrator permissions. We may add, modify, pause, or remove features at any time.

Workspace owners and administrators are responsible for configuring access rights, managing invitations, allocating credits, reviewing usage, and ensuring that their members use Yuba in compliance with these Terms and applicable law.

Yuba uses AI Agents and automated workflows to generate reports, analyses, summaries, recommendations, structured canvases, and other outputs. AI-generated outputs may be incomplete, inaccurate, outdated, or inappropriate for your circumstances, even when they appear authoritative.

You are solely responsible for reviewing and validating outputs before relying on them for business, investment, legal, tax, regulatory, medical, employment, product, or operational decisions. Yuba does not guarantee startup success, funding, commercial viability, regulatory compliance, or any particular commercial outcome.

Yuba is a tool for structured guidance and collaboration. Unless we explicitly say otherwise in writing, Yuba and its outputs do not constitute legal advice, tax advice, investment advice, accounting advice, brokerage services, or professional consulting services.

You retain ownership of the content, prompts, files, notes, profile data, project materials, reports, agendas, session materials, and other data you submit to Yuba ('User Content'). You are responsible for ensuring that you have all rights, permissions, and legal bases needed to upload, share, and process that User Content.

You grant Yuba a non-exclusive, worldwide, royalty-free license to host, store, format, transmit, display, adapt, and otherwise process User Content as necessary to operate, secure, support, maintain, and your Yuba account, including providing requested outputs, workspaces, collaboration features, report sharing, moderation, payment support, and customer support.

If you create public or semi-public share links, invite outside users, or share reports with venture builders or other collaborators, you are responsible for the sharing settings you choose and for ensuring that the disclosed content may lawfully be shared with those recipients.

We may generate anonymized or aggregated statistics, telemetry, and product analytics from your use of Yuba, provided that those materials do not identify you or reveal your confidential content.

You may not use Yuba to:

• Violate any law, regulation, contract, or third-party right.
• Upload malware, malicious code, or content designed to disrupt systems.
• Harass, stalk, threaten, defame, exploit, or abuse another person.
• Send spam, mass unsolicited messages, or deceptive invitations.
• Attempt to scrape, reverse engineer, benchmark, or copy the Services except as allowed by law.
• Interfere with security controls, rate limits, access controls, or billing systems.
• Use Yuba or its outputs to create competing training datasets or models without our written permission.
• Share unlawful, infringing, fraudulent, discriminatory, or sexually exploitative content.
• Misrepresent your identity, credentials, authority, or affiliation.

We may investigate suspected misuse, remove content, limit features, freeze credits, revoke invitations, or suspend accounts to protect Yuba, our users, and third parties.

Yuba may enable users to browse venture builder profiles, request or book coaching sessions, exchange agendas and notes, access organization-specific venture builder programs, and manage session disputes, cancellations, and follow-up materials.

Some venture builders are independent professionals and not employees, agents, fiduciaries, or legal representatives of Yuba. Other venture builders may be affiliated with a customer organization or program. Yuba provides workflow and marketplace infrastructure, but the content, quality, punctuality, expertise, and professional conduct of a session remain the responsibility of the applicable venture builder and, where relevant, the sponsoring organization.

When you book a session, you authorize Yuba to share the information reasonably needed to facilitate that session, such as your name, workspace, project reference, agenda, selected context, and meeting logistics.

Session pricing, availability, duration, refund eligibility, or credit restoration may differ by session type. Some organization-hosted sessions may be free, while some platform venture builder sessions may consume credits or require payment. Any booking-specific terms shown during the booking flow are part of these Terms.

If a session is canceled, credit restoration, refunds, rescheduling rights, or dispute handling will depend on the applicable session type, the timing of the cancellation, and any booking-specific policy displayed in Yuba or otherwise agreed in writing. Yuba may issue credits, refunds, or other remedies in its reasonable discretion where appropriate.

Yuba may allow you to sign in with Google and, for eligible venture builder scheduling features, connect a Google Calendar account. By using those features, you authorize Yuba to access and process the Google account data and Google Calendar permissions presented to you in the Google consent flow.

If you connect Google Calendar, you authorize Yuba to use Google Calendar data to support Yuba scheduling features, including checking availability, avoiding double-bookings, storing encrypted credit, creating and managing Yuba-related calendar events, sending meeting updates, and deleting or updating Yuba-created events when bookings are changed or canceled.

You represent that you have authority to connect the Google account and the selected calendar. You remain responsible for complying with any obligations you owe to Google, your organization, and other calendar participants.

Yuba is not sponsored by, endorsed by, or otherwise affiliated with Google. Your use of Google services is also subject to Google's own terms and policies. Yuba's use of data received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

If your Google authorization is revoked, expires, becomes invalid, or no longer includes the permissions required for a Yuba feature, that feature may stop working until you reconnect. Disconnecting or revoking calendar access may prevent Yuba from syncing availability or session events.

Certain Yuba features require payment, subscriptions, prepaid plans, workspace credits, or other paid entitlements. Pricing may vary by plan, module, tenant type, organization agreement, booking type, geography, or promotional terms.

Credits are platform entitlements used to unlock or consume eligible features. Credits are not bank deposits, stored value, or electronic money; they have no cash value, are not redeemable for cash except where required by law, and may be subject to expiration, suspension, restoration, or reallocation under the applicable plan or administrator controls.

Organizations and workspace administrators may allocate, freeze, suspend, or otherwise manage credits within their workspace. You are responsible for reviewing applicable pricing and credit usage before confirming a purchase, invitation, session, or other transaction.

Payments may be processed by third-party payment processors. You authorize us and those processors to charge the applicable payment method for amounts due, including taxes, fees, and any authorized recurring charges. Unless a feature-specific policy, law, or written agreement states otherwise, fees paid to Yuba are non-refundable once the relevant entitlement, feature access, credit allocation, or session reservation has been provided.

You are responsible for all sales, use, VAT, GST, withholding, and similar taxes or levies associated with your use of Yuba, other than taxes based on Yuba's net income.

Yuba integrates with or relies on third-party services such as cloud hosting, file storage, communications providers, Large Language Model providers, payment processors, and external identity or calendar services.

Your use of third-party products, websites, or services is governed by their own terms and policies. Yuba is not responsible for the acts, omissions, outages, pricing changes, data handling, or security practices of third parties that we do not control.

We may suspend or discontinue an integration if the provider changes its policies, technical requirements, pricing, or availability, or if continued support would create legal, operational, or security risk.

Yuba and its software, interface, prompts, workflows, documentation, design, branding, trademarks, logos, and related materials are owned by Yuba or its licensors and are protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use Yuba for your internal business or personal use in accordance with your plan and permissions.

Except to the extent permitted by mandatory law, you may not copy, resell, sublicense, distribute, publish, modify, create derivative works from, reverse engineer, or exploit Yuba except as expressly permitted by us in writing.

Our collection, use, sharing, and retention of personal data is described in our Privacy Policy. By using Yuba, you acknowledge that Yuba may process personal data and other content as described there.

If you upload personal data, confidential information, or regulated information into Yuba, you are responsible for ensuring that you have a lawful basis to do so and that your use of Yuba is appropriate for that information. If you need a separate data processing agreement or enterprise security commitments, you must obtain them from us in writing.

You may stop using Yuba at any time. We may suspend, limit, or terminate access to Yuba, or remove content, if we reasonably believe that you have violated these Terms, created legal or security risk, failed to pay amounts due, misused credits, abused other users, or used Yuba in a way that harms the platform or third parties.

Workspace owners and administrators may also remove or restrict users in their workspaces. Upon termination, your right to use Yuba will stop immediately, but sections that by their nature should survive will survive, including sections on payments, intellectual property, disclaimers, liability, indemnity, governing law, and dispute resolution.

Yuba is provided on an 'as is' and 'as available' basis. To the maximum extent permitted by law, Yuba disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uptime, interoperability, or that the Services will be uninterrupted, secure, or error-free.

We do not warrant that reports, analyses, recommendations, bookings, notifications, messaging, integrations, or calendar syncs will always be complete, delivered on time, or free from defects.

To the maximum extent permitted by law, Yuba and its officers, directors, employees, contractors, licensors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, contracts, customers, reputation, goodwill, data, or anticipated savings, arising out of or related to Yuba or these Terms.

To the maximum extent permitted by law, Yuba's aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the amounts you paid to Yuba for the applicable Services in the 12 months before the event giving rise to the claim, or (b) USD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

You agree to defend, indemnify, and hold harmless Yuba and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, losses, judgments, settlements, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your use of Yuba, your sessions or interactions with other users, your connected integrations, or your breach of these Terms or applicable law.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Subject to applicable consumer law, you and Yuba agree that the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

Before filing a formal claim, you agree to contact us at info@yubanow.com and attempt in good faith to resolve the dispute informally.

We may update these Terms from time to time to reflect changes to Yuba, the law, our business practices, or third-party integrations. When we make material changes, we may provide notice through the website, product, workspace notifications, email, or other reasonable means.

Unless we state otherwise, updated Terms become effective when posted. Your continued use of Yuba after the effective date of revised Terms means that you accept the updated Terms.
